By visiting or using the Services, or by registering for an account, you agree to enter into a legally binding agreement with Chizu Ltd, located at 18, Harbour Road, Hong Kong, based on these Terms and our Privacy Policy, which is incorporated by reference (collectively referred to as the "Agreement"). Your access to and use of the Services is conditioned on your acceptance of and compliance with the Agreement. By accessing or using the Services, you agree to be bound by the Agreement and confirm that you will use the Services in accordance with these Terms.

1. Basic Terms

Chizu offers a marketplace connecting real estate buyers to purchase shares of homes through a qualified LLC. Real estate purchase terms are outlined in the purchase agreement and related documents. Chizu also provides property management services via its mobile app and platform, governed by your subscription agreement. By using the website and app, you agree to the terms of the Agreement. You are responsible for your use of the Services and must comply with applicable laws. Chizu's offerings are not available in jurisdictions where fractional ownership is prohibited. The Services may change without notice, and Chizu reserves the right to set usage limits at its discretion. The Services may include targeted advertising, and by using the Services, you consent to advertisements being displayed by Chizu and its partners.

2. Privacy

The information you provide to Chizu is governed by our Privacy Policy, which outlines the collection, use, and transfer of your data, including its storage and processing in other countries. By using the Services, you consent to the collection and use of your information as described in the Privacy Policy.

To provide the Services, we may send you essential communications such as service announcements and administrative messages, which may not be opted out of.

By submitting forms requesting your phone number or email, you agree to our Privacy Policy and consent to receive marketing-related communications (texts, emails, calls, or voicemails) from Chizu, its affiliates, and/or service providers, which may be recorded and use automated technology. Consent is not a condition for purchasing property, goods, or services.

3. Mobile, Web and Desktop Applications Requirements

In order to use the Chizu mobile, web, desktop apps (“Apps”), you must have a compatible device. You are responsible for verifying that Apps is compatible with your device, and Chizu does not warrant that any Apps will be compatible with your device. Chizu may update any apps and may automatically electronically update the version of any Apps that you have installed on a device. By installing Apps on your device, you expressly consent to all automatic upgrades, and understand that these Terms of Use will apply to all updated versions of an Apps. Any third-party open-source software included in an Apps is subject to the applicable open-source license and may be available directly from the creator under an open-source license.

4. Account Registration

In order to access certain features of the Services, you may be required to create an account. You agree to provide accurate and complete information during registration and to keep your account information up to date. You are responsible for all activities that occur under your account and agree to immediately notify Chizu of any unauthorized use.

5. Content on the Services

By registering for access to Exclusive Content, the Registrant agrees to the following:

• The data obtained from the Exclusive Content is for personal, non-commercial use only, unless otherwise specified in the agreement.

• The Registrant has a genuine interest in purchasing or selling real estate of the type offered through the Exclusive Content.

• The Registrant will not copy, redistribute, or retransmit any data or information, except in connection with considering the purchase or sale of an individual property, unless otherwise specified in the agreement.

6. Disclaimer

The information, services, and content provided on Services are for general informational purposes only. Chizu makes no representations or warranties, express or implied, regarding the accuracy, completeness, or reliability of any content or services provided through Services.

 

Chizu does not guarantee that Services will be error-free, uninterrupted. The use of Services is at your own risk, and Chizu will not be liable for any damages, losses, or other consequences arising from your use of Services, or any content accessed through them.

Services may contain links to third-party sites, which are not controlled by Chizu. Chizu is not responsible for the content or privacy practices of third-party sites and provides these links solely for your convenience.

All services and content on Services are provided "as is" without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

You agree not to engage in any activities that violate applicable laws, infringe on intellectual property rights, or interfere with the normal operation of the Services. Prohibited activities include, but are not limited to:

• Engaging in acts that violate laws, public order, or morals.

• Participating in activities related to criminal conduct.

All content, features, and functionality available through the website and Services, including but not limited to text, graphics, logos, images, audio clips, video clips, are the exclusive property of Chizu or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You agree not to infringe, misappropriate, or otherwise violate the intellectual property rights of Chizu or any third party. This includes, but is not limited to, the unauthorized use, reproduction, or distribution of copyrighted material, trademarks, and proprietary content available through the Services, unless otherwise expressly authorized by Chizu in writing.

By submitting any content, such as comments, reviews, or suggestions about Chizu or Services, you grant Chizu a worldwide, royalty-free, non-exclusive, transferable permission to use, reproduce, modify, adapt, distribute, and display such content. These Terms and any related disputes shall be governed by the laws of Hong Kong without regard to or application of its conflict of law provisions or or country of residence.

All legal proceedings arising from the Services shall be brought exclusively in the courts of Hong Kong. You consent to their jurisdiction and waive any objections based on an inconvenient form.

You agree that you may only bring claims against Chizu related to your use of the Services must be filed individually and not as part of any class or representative action.

13. Final provisions

These Terms and our Privacy Policy constitute the complete and exclusive agreement between Chizu and you regarding the Services (excluding any services for which you have a separate agreement with Chizu that explicitly supplements or replaces these Terms). These Terms supersede and replace any prior agreements between Chizu and you concerning the Services.
